1. Agreement to Terms

By accessing or using the Qynt Labs platform, website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Platform.

These Terms constitute a legally binding agreement between you and Qynt Labs, Inc. ("Qynt Labs," "we," "us," or "our"). These Terms apply to all visitors, registered users, creators, and investors who access or use the Platform.

2. About Qynt Labs

Qynt Labs operates a neutral technology marketplace that connects independent model creators ("Creators") with self-directed investors ("Investors"). Qynt Labs provides software infrastructure, tooling, and marketplace services only.

Qynt Labs is not a registered investment adviser, broker-dealer, financial planner, or custodian. Qynt Labs does not manage assets, provide investment recommendations, or exercise discretion over any investor account. Nothing on the Platform constitutes investment advice.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts in your jurisdiction;
  • Not be located in, or a resident of, any jurisdiction where use of the Platform is prohibited by applicable law;
  • Not be listed on any U.S. government sanctions list or denied-party list, including those maintained by OFAC; and
  • Comply with all applicable laws and regulations in your jurisdiction.

By using the Platform, you represent and warrant that you meet all eligibility requirements. Qynt Labs reserves the right to refuse access to any user who does not meet these requirements.

4. Account Registration and Security

Certain features of the Platform require you to register for an account. When you register, you agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Qynt Labs immediately at contact@QyntLabs.ai of any unauthorized access to or use of your account. Qynt Labs is not liable for any loss or damage resulting from your failure to safeguard your credentials.

5. Platform Roles

Creators

Creators are independent third-party developers who use the Platform to publish, operate, and monetize algorithmic trading models ("Agents"). Creators are solely responsible for the content, accuracy, and legality of their Agents and associated disclosures. Qynt Labs does not employ, direct, or supervise Creators, and is not responsible for any Creator content, model performance, or conduct.

Investors

Investors are self-directed users who access the Platform to discover, evaluate, and independently select Agents to deploy in their own brokerage accounts. Investors make all allocation and trading decisions independently. Qynt Labs does not make recommendations, provide personalized advice, or suggest any particular Agent to any Investor.

6. No Investment Advice or Recommendations

The Platform provides information and tools to support independent decision-making. Nothing on the Platform, including Agent profiles, performance data, comparison tools, or any other content, constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any investment.

Qynt Labs does not rank, endorse, or recommend any Agent. All discovery and filtering tools are neutral and user-controlled. Past or simulated performance data, where displayed, is not indicative of future results. Investing involves risk, including the possible loss of principal.

You should consult a qualified financial adviser before making any investment decision.

7. Third-Party Models and Creator Content

Agents available on the Platform are created, owned, and operated by independent Creators who are not employees or agents of Qynt Labs. Qynt Labs does not endorse, guarantee, or verify the accuracy, legality, or performance of any Agent or associated disclosures.

Qynt Labs independently records live trade execution logs via its brokerage infrastructure integration. These Qynt-recorded logs are the basis for live performance labeling on the Platform. However, Qynt Labs does not independently verify the accuracy of Creator-provided descriptions, backtested results, projected returns, risk characterizations, or model logic, and makes no representation that any Agent will perform as described.

8. Brokerage Services

Trading, execution, custody, and clearing services are provided by a registered third-party broker-dealer, not by Qynt Labs. Qynt Labs is not a broker-dealer and does not hold, custody, or execute trades on behalf of any Investor.

Your use of brokerage services is governed by a separate agreement between you and the applicable broker. Qynt Labs is not a party to that agreement and is not responsible for the broker's services, fees, or actions. Brokerage-related costs are separate from any fees charged by Qynt Labs.

9. Fees and Payments

Creator Subscription Fees

Creators pay a monthly subscription fee to access development, validation, and marketplace infrastructure. Subscription tiers and pricing are described on the Pricing page and may be updated from time to time with advance notice.

Marketplace Service Fee

When a Creator's Agent is listed and monetized on the marketplace, the Creator pays Qynt Labs a platform service fee for marketplace distribution and infrastructure services. This fee is not based on Investor outcomes and does not constitute an asset management or performance fee.

Creator-Defined Model Fees

Creators may charge Investors fees for access to their Agents. These fees are set by the Creator, subject to platform requirements and applicable law. Qynt Labs is not responsible for collecting or remitting Creator-defined fees except as expressly described in Creator program documentation.

No Investor Platform Fee

Qynt Labs does not charge Investors a platform fee. Investors may still incur Creator-defined model fees, broker-related fees, and other disclosed third-party costs.

All fees are non-refundable except as required by applicable law or as otherwise stated in writing by Qynt Labs.

10. Creator Obligations

If you are a Creator, you agree to:

  • Provide accurate, complete, and non-misleading disclosures for each Agent, including clearly labeling simulated, backtested, and live performance data;
  • Operate Agents in compliance with all applicable laws and regulations, including securities laws;
  • Not make false or unsubstantiated claims about Agent performance, risk profile, or model logic;
  • Maintain the reliability and operational integrity of your Agents while they are listed;
  • Promptly notify Qynt Labs of any material changes to an Agent's model, risk profile, or status; and
  • Comply with all Creator program requirements, as updated from time to time.

11. Intellectual Property

Qynt Labs retains all right, title, and interest in and to the Platform, including all software, design, trademarks, and content created by Qynt Labs ("Qynt Labs IP"). You may not copy, modify, distribute, or create derivative works from Qynt Labs IP without prior written consent.

Creators retain ownership of their model logic and intellectual property. By publishing an Agent on the Platform, a Creator grants Qynt Labs a non-exclusive, worldwide, royalty-free license to display, distribute, and promote the Agent and its associated content on the Platform for the purposes of operating the marketplace.

12. Prohibited Conduct

You agree not to:

  • Use the Platform for any fraudulent, deceptive, or unlawful purpose;
  • Engage in market manipulation, front-running, or any activity that violates securities laws;
  • Publish misleading performance disclosures or misrepresent an Agent's model or risk;
  • Scrape, harvest, or systematically extract data from the Platform without authorization;
  • Reverse engineer, decompile, or attempt to derive source code from the Platform;
  • Circumvent any access controls, authentication, or security measures;
  • Upload or transmit malicious code, viruses, or any content that could harm the Platform or its users; or
  • Interfere with or disrupt the integrity or performance of the Platform.

13. Performance Data and Disclaimers on Data Accuracy

Performance data displayed on the Platform may include simulated results, backtested results, or live trading results. All such data is clearly labeled. Simulated and backtested results have inherent limitations and do not reflect actual trading. Factors including slippage, liquidity, and market conditions may cause actual results to differ materially.

Qynt Labs independently records live trade execution logs via its brokerage infrastructure integration, which form the basis for live performance labeling. Qynt Labs does not independently verify the accuracy or completeness of Creator-provided descriptions, backtested results, or projected returns, and makes no representation or warranty regarding such data.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. QYNT LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Qynt Labs does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. Qynt Labs does not warrant the accuracy, completeness, or timeliness of any information on the Platform.

Investing involves risk. The value of investments can go down as well as up, and you may lose some or all of the money you invest.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QYNT LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, INVESTMENT LOSSES, TRADING LOSSES, OR DATA LOSS, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY AGENT, EVEN IF QYNT LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL QYNT LABS'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO QYNT LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

16. Indemnification

You agree to indemnify, defend, and hold harmless Qynt Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your content, Agents, or disclosures; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

17. Termination

Qynt Labs may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that Qynt Labs believes violates these Terms, applicable law, or is harmful to other users or the Platform.

You may close your account at any time by contacting contact@QyntLabs.ai. Upon termination, your right to access the Platform ceases, but provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will remain in effect.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property or unauthorized access. You waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Changes to These Terms

Qynt Labs may update these Terms from time to time. We will post the updated Terms with a revised "Last updated" date. For material changes, we will provide notice by email (if you have a registered account) or by a prominent notice on the Platform.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform.
